1. Acceptance of Terms

By accessing or using VerifyCarrier ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

VerifyCarrier is operated by Metiri Labs LLC ("Company", "we", "us", or "our"). The Service provides access to carrier safety data, DOT number lookups, and related verification services through our API and web interface.

2. Use of Service

2.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service in any way that violates any applicable federal, state, local, or international law
• Attempt to gain unauthorized access to any portion of the Service
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Use any automated means to access the Service except through our documented API
• Resell, redistribute, or sublicense access to the Service without written permission
• Use the Service to harass, abuse, or harm another person or entity

2.2 API Usage

If you use our API, you agree to comply with rate limits and usage restrictions specified in your plan. Excessive usage may result in temporary or permanent suspension of access.

2.3 Account Security

You are responsible for maintaining the confidentiality of your API keys and account credentials. You agree to notify us immediately of any unauthorized use of your account.

3. Data and Privacy

3.1 Data Sources

Our Service aggregates publicly available data from the Federal Motor Carrier Safety Administration (FMCSA) and other public sources. We do not guarantee the accuracy, completeness, or timeliness of this data.

3.2 Your Data

We collect and process personal information as described in our Privacy Policy. By using the Service, you consent to such processing.

3.3 WhatsApp Communications

If you opt-in to WhatsApp notifications, you consent to receive messages about carrier status changes, insurance expiration alerts, and service updates. You may opt-out at any time by following the unsubscribe instructions in any message or contacting us at hello@verifycarrier.com.

4. Payment and Billing

4.1 Subscription Plans

Paid plans are billed monthly or annually as selected. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

4.2 Price Changes

We reserve the right to modify pricing with 30 days notice. Continued use of the Service after price changes constitutes acceptance of new pricing.

4.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No partial refunds will be issued for unused time in a billing period.

5. Intellectual Property

The Service and its original content, features, and functionality are owned by Metiri Labs LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of our Service without our express written permission.

6. Disclaimers and Limitations of Liability

6.1 No Warranty

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free. We do not warrant the accuracy or completeness of data obtained through the Service.

6.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL METIRI LABS LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION ARISING OUT OF YOUR USE OR INABILITY TO USE THE SERVICE.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR $100, WHICHEVER IS GREATER.

7. Indemnification

You agree to indemnify and hold harmless Metiri Labs LLC and its affiliates, officers, agents, and employees from any claim, demand, or damage, including reasonable attorneys' fees, arising out of your use of the Service, your violation of these Terms, or your violation of any rights of another.

8. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Delaware.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on this page and updating the "Last Updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
